1. Acceptance of Terms

By accessing or using the website of NexureSoft (www.nexuresoft.com) or purchasing our custom enterprise software solutions, ERP modules, IoT/RFID tracking tools, and digital consulting services, you agree to comply with and be bound by these Terms of Service. If you do not agree, please do not use our services or website.

2. Services Rendered

NexureSoft provides custom software development, IT consulting, software maintenance, and hardware-software integrations (such as RFID & IoT sensors). The detailed specifications, timelines, deliverables, and service-level agreements (SLAs) for enterprise client projects are governed by individual client Service Agreements signed separately, which supersede these online terms in case of conflict.

3. Use License & Intellectual Property

Unless otherwise agreed in writing in a specific Software Development Agreement:

• NexureSoft Ownership: All proprietary software architectures, pre-built ERP modules, IoT gate automation logic, and source code libraries utilized to build client solutions remain the exclusive intellectual property of NexureSoft.
• Client Usage rights: Clients are granted a non-exclusive, non-transferable, worldwide license to run the software application built for them for their internal business operations.
• Restrictions: You may not reverse engineer, decompile, resell, or distribute our proprietary software modules or use them to construct competing platforms without our explicit written permission.

4. User Responsibilities & Conduct

You agree to use our website and services only for lawful purposes. You must not:

• Attempt to breach the security of our custom software products, ERP platforms, or server hosting networks.
• Use our applications or website to store, transmit, or process malicious code, viruses, or unlawful data.
• Provide false, inaccurate, or misleading information when filling out contact forms, demo requests, or user account profiles.

5. Limitation of Liability

To the maximum extent permitted by applicable law, NexureSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (whether incurred directly or indirectly), or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our website or pre-release software demos.
• Any bugs, latencies, or service interruptions in standard web portals.
• Hardware malfunction of third-party IoT/RFID scanners or boom barriers.

For custom enterprise production systems, our liability is strictly capped and defined under the liability limits set forth in our signed project contract.

7. Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms, our website, or our custom software services shall be subject to the exclusive jurisdiction of the competent courts of Kalyan/Mumbai, Maharashtra, India.

8. Termination of Use

We reserve the right to suspend or terminate your access to our website, tools, or demo portals at our sole discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to our business interests or other users.
